  7. END USER LICENSE AGREEMENT
  8. EMS Database Management Solutions, Inc. ("EMS") agrees to provide the user 
  9. ("USER") with a copy of this software product ("SOFTWARE"), and grants the 
  10. USER a limited license to use the SOFTWARE. This LICENSE AGREEMENT 
  11. ("LICENSE") defines what the USER may do with the SOFTWARE, and contains 
  12. limitations on warranties, liabilities and remedies. This LICENSE may be 
  13. revoked by EMS at any time without notice if the USER fails to comply with 
  14. the terms of this LICENSE. The copyright and all other rights in the 
  15. SOFTWARE shall remain with EMS.

  17. LICENSE OF SOFTWARE
  18. This LITE edition of SOFTWARE is a FREEWARE and may be used by the USER 
  19. for any legal purposes for an unlimited period on unlimited number of 
  20. computers without any restrictions. The LITE edition of SOFTWARE is fully 
  21. functional and does NOT contain any ADWARE or SPYWARE.

  23. DISTRIBUTION OF SOFTWARE
  24. The LITE edition of SOFTWARE may be freely copied and distributed to other 
  25. users without any restrictions. 
  26.  
  27. TERM OF LICENSE
  28. This LICENSE shall continue for as long as the USER uses the SOFTWARE 
  29. and/or distributes the SOFTWARE according to the terms of this agreement. 
  30. However, this LICENSE will terminate if the USER fails to comply with any 
  31. of its terms or conditions. The limitations of warranties and liability 
  32. set forth in this LICENSE shall continue in force even after termination.

  34. ACCEPTANCE OF THIS LICENSE AGREEMENT
  35. By downloading and/or installing this SOFTWARE, the USER agrees to the 
  36. terms of this LICENSE.

  38. DISCLAIMER OF WARRANTY AND LIABILITY
  39. THE SOFTWARE AND THE ACCOMPANYING FILES ARE PROVIDED "AS IS" WITHOUT 
  40. WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 
  41. EMS DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT 
  42. LIMITED TO, ANY IMPLIED WARRANTIES OF PERFORMANCE, MERCHANTABILITY, 
  43. FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. TO THE MAXIMUM 
  44. EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EMS BE LIABLE FOR 
  45. ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING, BUT 
  46. NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  47. INTERRUPTION OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR 
  48. INABILITY TO USE THE SOFTWARE.

  50. OTHER RESTRICTIONS
  51. The USER may not rent, lease, sublicense, translate, disassemble, reverse 
  52. engineer, or de-compile the SOFTWARE, or modify or merge the SOFTWARE with 
  53. any part of the software in another program. This LICENSE may not be 
  54. assigned or otherwise transferred without the prior written consent of 
  55. EMS.

  57. INVALID PROVISIONS
  58. If any provision of this LICENSE shall be declared invalid or 
  59. unenforceable, the remaining provisions of this LICENSE shall remain in 
  60. full force and effect to the fullest extent permitted by law. In such 
  61. event, each provision of this LICENSE which is invalid or unenforceable 
  62. shall be replaced with a provision as similar in terms to such invalid or 
  63. unenforceable provision as may be possible which is legal and enforceable.

  65. ENTIRE AGREEMENT
  66. This LICENSE is the entire agreement between EMS and the USER, and 
  67. supersedes any other agreement, oral or written, and may not be changed 
  68. except by a written signed agreement.
